1. Agreement
These Terms of Service (“Terms”) govern your access to and use of P3 Platform (the “Service”) provided by MDIDM (“we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. The Service
P3 Platform provides productivity tools (for example projects, tasks, planner views, notifications, and optional public profile pages). We may modify, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. You must be old enough to form a binding contract in your jurisdiction and not barred from receiving the Service under applicable law.
4. User content and license
You retain rights to content you submit (“User Content”). You grant MDIDM a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute User Content solely to operate, improve, and promote the Service — including showing public profile or project content to visitors when you enable public visibility.
You represent that you have all rights necessary to grant this license and that User Content does not violate law or third-party rights.
5. Acceptable use
You agree not to:
- Violate applicable law or infringe intellectual property, privacy, or other rights;
- Upload malware, probe or bypass security, or interfere with the Service or other users;
- Scrape or automate access beyond reasonable personal use or our documented APIs;
- Use the Service to send spam or deceptive communications;
- Resell the Service without our written agreement.
We may suspend or terminate access for violations.
6. Third-party services
The Service may link to third-party sites or rely on subprocessors (hosting, email, analytics). Their terms and privacy policies apply to your use of those services.
7. Fees
If we offer paid plans, fees, billing cycles, and taxes will be presented at checkout or in a separate order form. Unless stated otherwise, fees are non-refundable except where required by law.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE CASES, DISCLAIMERS APPLY TO THE FULLEST EXTENT ALLOWED.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDIDM AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100) IF YOU HAVE NOT PAID FEES.
Consumers in the EEA, UK, or Switzerland: Nothing in these Terms limits mandatory statutory rights or remedies that cannot be waived by contract, including rights under consumer protection laws.
Consumers in US states with non-waivable protections: Some limitations may not apply to the extent prohibited by law (for example gross negligence, willful misconduct, or personal injury in some jurisdictions).
10. Indemnity
You will defend and indemnify MDIDM against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.
11. Termination
You may stop using the Service and close your account as offered in-product. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we discontinue the Service. Upon termination, provisions that by their nature should survive (e.g. liability limits, indemnity, governing law) will survive.
12. Governing law and disputes
If you are a consumer habitually resident in the European Economic Area, the United Kingdom, or Switzerland, you may benefit from mandatory consumer protection rules of your country of residence. You may also be entitled to bring proceedings in the courts of that country.
Otherwise, except where prohibited by applicable law, these Terms are governed by the laws applicable to MDIDM as the contracting entity, without regard to conflict-of-law rules, and the courts located in that jurisdiction will have exclusive jurisdiction, unless a different forum is required for consumers.
The European Commission provides an online dispute resolution (ODR) platform; we are not obliged to use ADR but remain open to good-faith resolution via legal@mdidm.com.
13. Export and sanctions
You may not use the Service if you are subject to sanctions or export restrictions that prohibit use, or if you are located in a comprehensively embargoed jurisdiction, except as authorized by law.
14. Changes to these Terms
We may update these Terms. If changes are material, we will provide reasonable notice (for example by email or in-product notice). Continued use after the effective date constitutes acceptance of the updated Terms, except where your consent is required by law.
